CCC Intelligent Solutions Agrees to $6.1 Billion Sale to GTCR-Led Group Including Elliott

The estimating and claims software provider would go private, with closing targeted for the first quarter of 2027.

CCC Intelligent Solutions Agrees to $6.1 Billion Sale to GTCR-Led Group Including Elliott
CCC Intelligent Solutions agreed to a $6.1 billion all-cash sale to a GTCR-led group including Elliott, with stockholders to receive $7.75 per share.

CCC Intelligent Solutions Holdings Inc. makes software that collision repair shops, auto insurers, automakers, and parts suppliers use to handle crash claims and vehicle repairs. The company has agreed to be acquired by a group of private investment firms led by GTCR that includes Elliott Investment Management L.P. The all-cash transaction carries an enterprise value of about $6.1 billion, CCC announced Oct. 15.

Under the agreement, CCC stockholders will be paid $7.75 per share in cash. The company said that price is roughly 44% above its unaffected closing price on July 9, 2026. July 9 was the final trading session before media reports surfaced about a possible sale. The price is also about 59% above the 30-day average share price as of that date.

On the shop side, the CCC ONE Mobile App is in use at more than 20,000 repair facilities by about 90,000 people, according to an April company announcement. CCC said it will stay publicly traded and continue to operate independently until the CCC acquisition closes.

Deal needs regulatory and stockholder approval, with closing expected in the first quarter of 2027

CCC’s board of directors has approved the deal. Before the CCC acquisition can close, it must clear customary conditions, including sign-off from regulators and a vote of CCC stockholders, the company said. Those conditions include the expiration or termination of waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act, according to the forward-looking statements section of the release.

The transaction does not carry a financing condition, the company said. Once the transaction is complete, CCC will be privately held and its shares will be removed from the Nasdaq.

Citing Bloomberg, Hedgeweek described the deal as a $4.6 billion take-private transaction that values CCC at about $6.1 billion including debt.

CCC plans to report third-quarter 2026 results Oct. 29. Because of the pending transaction, it will not hold a conference call or webcast for those results, the company said.

Executives cite AI adoption and CCC’s network of insurers and repairers

“Throughout CCC’s history, we have helped customers navigate growing complexity and achieve better outcomes through technology and innovation,” said Githesh Ramamurthy, chairman and CEO of CCC. “With GTCR and Elliott’s experience and resources, we will continue to build on our momentum and extend our leadership. Together, we will accelerate the AI and agentic capabilities our customers want from us, expand the network at the center of our platform, and continue to develop and build our world class team.”

Ramamurthy also said: “Today’s announcement follows a thorough review of strategic options with assistance from our financial and legal advisors. Our Board of Directors is confident this transaction recognizes the strength of the business our team has built while delivering immediate and premium cash value to our stockholders.”

Mark Anderson, managing director and head of technology, media and telecommunications at GTCR, pointed to AI adoption among CCC’s customers.

“We have followed CCC for years and believe the Company is uniquely positioned to support their customers as they increasingly adopt AI solutions to improve decision making and efficiency across the claims and repair lifecycle,” Anderson said.

David Kerko, head of global private equity at Elliott, described CCC’s position among insurers and repairers.

“CCC’s role within the large ecosystem of insurers, repair facilities, automakers and parts suppliers creates strong data advantages and network benefits for their more than 35,000 customers,” Kerko said.

Second-quarter revenue rose 9.8% as AI estimating tools spread among large MSOs

CCC posted second-quarter 2026 revenue of $285.9 million, up 9.8% from a year earlier. Ramamurthy told analysts the company’s AI-based solutions were bringing in more than $120 million on an annualized basis and growing at close to 50% year over year, as detailed in coverage of CCC’s second-quarter results.

On the same call, Ramamurthy said about 98% of one large multi-store operator’s repair estimates were starting in Mobile Jumpstart, the company’s AI estimating tool.

That followed 12% revenue growth in the first quarter. CCC has also been adding partners to its diagnostics network, which added Autel in July.
